1. About RareTalent

RareTalent is a brand operated by RareSkills LLC ("RareSkills," "we," "us," or "our"). RareTalent provides talent sourcing, recruitment support, hiring facilitation, and related services for companies and professionals.

These Terms and Conditions ("Terms") govern your access to and use of the RareTalent website, forms, communications, and related services (collectively, the "Services").

By accessing or using the RareTalent (https://raretalent.xyz/) website or Services, you agree to these Terms.

2. Eligibility and Use of the Services

You may use the Services only if you have the legal capacity to enter into these Terms.

By using the RareTalent website or submitting information through it, you confirm that:

  • you have the legal capacity to enter into these Terms;
  • any information you provide is accurate, current, and complete;
  • if you are acting on behalf of a company or other entity, you have authority to bind that entity; and
  • you will use the Services only for lawful and legitimate business or career-related purposes.

We may deny, suspend, or terminate access to the Services if you violate these Terms, provide false or misleading information, or misuse the Services.

3. Candidate and Employer Participation

RareTalent may collect information from both candidates and hiring companies through application forms, inquiry forms, intake calls, interviews, email, messaging platforms, and other communications.

3.1 Candidates

If you submit your information as a candidate, you acknowledge and agree that:

  • submitting an application, profile, résumé, CV or other materials does not guarantee an interview, offer, placement, or continued consideration;
  • RareTalent may review, assess, organize, and share your profile, résumé, portfolio, and related information with prospective employers where relevant to potential opportunities;
  • you are responsible for ensuring that all information you provide is truthful, accurate, and not misleading; and
  • We may contact you regarding roles, opportunities, updates, and related communications.

3.2 Employers

If you engage with RareTalent as a hiring company or company representative, you acknowledge and agree that:

  • you will provide accurate information about your company, roles, compensation structure, hiring process, and other relevant details;
  • you will use candidate information only for legitimate hiring and recruitment-related purposes;
  • you are responsible for your own hiring decisions, employment contracts, onboarding, legal compliance, and employment practices; and
  • RareSkills does not guarantee that any specific role will be filled or that any introduction will result in a hire.

4. Fees, Payments, and Commercial Terms

Accessing the RareTalent website and submitting candidate or company information through it does not by itself create a paid engagement unless otherwise agreed in writing.

Any recruitment fees, placement fees, payment schedules, refund terms, replacement terms, guarantees, or related commercial terms between RareSkills LLC and a hiring company will be governed by a separate written agreement, proposal, order form, or recruitment agreement.

5. No Guarantee of Placement, Employment, or Results

RareTalent and RareSkills provide recruitment and hiring support services, not guaranteed outcomes.

Unless expressly stated in a separate written agreement, we do not guarantee:

  • that a candidate will receive an interview, offer, or placement;
  • that an employer will make a hire;
  • the performance, conduct, suitability, or continued availability of any candidate or employer; or
  • that the Services will result in any specific commercial, recruitment, or hiring outcome.

Any employment or contractor relationship entered into between a candidate and employer is solely between those parties unless explicitly stated otherwise in writing.

6. Communications, Interviews, and Recordings

RareTalent may use email, phone, messaging tools, scheduling tools, video conferencing platforms, and related communication systems to deliver the Services.

By participating in calls, interviews, intake meetings, or other communications with us, you acknowledge and agree that:

  • we may take notes, summaries, and internal records of such communications;
  • we may use tools that assist with scheduling, transcription, note-taking, communication management, and workflow coordination;
  • where calls or meetings are recorded, this will be done only with appropriate notice and/or consent as required by applicable law; and
  • information collected through these communications may be used for recruitment operations, candidate evaluation, employer coordination, quality control, and related purposes in accordance with our Privacy Policy.

7. User Submissions and Content

You may submit information and materials through the RareTalent website or Services, including résumés, CVs, portfolios, professional profiles, employment history, job descriptions, compensation details, references, written communications, and other related materials ("Submissions").

You retain ownership of your Submissions. By providing them to us, you grant RareSkills a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, organize, transmit, and share those Submissions as reasonably necessary to operate the Services, assess fit, facilitate introductions, coordinate hiring processes, and improve our internal operations. This license continues only for so long as we retain your Submissions. Upon deletion of your Submissions following a valid deletion request (see Section 11), this license terminates with respect to the deleted materials.

You represent and warrant that:

  • you own or have the rights necessary to provide the Submissions;
  • the Submissions do not infringe any third-party rights;
  • the Submissions are accurate and not misleading; and
  • the Submissions do not contain unlawful, defamatory, or malicious material.

We may remove, refuse, or restrict any Submission that violates these Terms or applicable law.

8. Confidentiality

Each party acknowledges that in connection with the Services, it may receive or have access to information that is confidential to the other party, including but not limited to candidate profiles, compensation data, hiring strategies, company information, business plans, client lists, proprietary processes, and non-public financial information ("Confidential Information").

Each party agrees to:

  • hold Confidential Information in reasonable confidence and not disclose it to third parties except as necessary to perform under these Terms or a related written agreement;
  • use Confidential Information only for the purposes contemplated by these Terms; and
  • take reasonable measures to protect Confidential Information from unauthorized access, use, or disclosure.

Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party without restriction before disclosure; (c) is independently developed by the receiving party without use of the disclosing party's Confidential Information; or (d) is lawfully obtained from a third party without restriction.

Either party may disclose Confidential Information if required by law, regulation, or court order, provided that the disclosing party gives reasonable prior written notice (where legally permitted) to allow the other party to seek protective measures.

These confidentiality obligations survive termination or expiration of these Terms for a period of two (2) years.


9. Code of Conduct

You agree not to:

  • harass, abuse, mislead, or harm other users, candidates, employers and RareTalent or RareSkills personnel;
  • impersonate any person or entity or misrepresent your identity, authority, or affiliations;
  • submit false, misleading, fraudulent, or outdated information;
  • upload malware, spam, or harmful material;
  • attempt unauthorized access to our systems, databases, or communications;
  • copy, scrape, extract, harvest, or reuse candidate, employer, or platform data without authorization; or
  • use the Services in violation of any applicable law, regulation, or contractual obligation.

We may suspend or terminate access to the Services for any violation of this section.

10. Intellectual Property

All content and materials made available through RareTalent, including text, branding, website content, graphics, workflows, candidate evaluation materials, research, recruitment frameworks, templates, databases, and related materials, are owned by RareSkills or its licensors and are protected by applicable intellectual property laws.

We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services solely for legitimate recruitment or career-related purposes.

You may not, without our prior written consent:

  • copy, reproduce, distribute, republish, sell, sublicense, or commercialize RareTalent or RareSkills content or materials;
  • use RareTalent or RareSkills branding, materials, or proprietary workflows in a misleading or unauthorized manner;
  • create derivative works from our materials for commercial use; or
  • scrape, extract, or harvest data or content from the RareTalent website, forms, or systems manually or through automated means.

Any unauthorized use of our intellectual property may constitute a material breach of these Terms and may result in legal action.

11. Privacy, Data Protection, and Data Handling

Your use of the Services is also subject to our Privacy Policy.

11.1 Data We Collect

By using the RareTalent website or Services or submitting information to us, you acknowledge that we may collect and process personal and business information including, but not limited to: names, email addresses, phone numbers, résumés, CVs, employment history, compensation expectations, professional profiles, portfolios, company information, job descriptions, and hiring requirements.

11.2 Lawful Basis for Processing

We process personal data on one or more of the following lawful bases:

  • Legitimate interests: operating our recruitment services, evaluating candidates, facilitating introductions, and communicating with candidates and employers;
  • Consent: where you have provided affirmative consent, including by submitting your information through our website or forms;
  • Contractual necessity: where processing is necessary to perform under these Terms or a related agreement; and
  • Legal obligation: where we are required to process data to comply with applicable law.

11.3 How We Use Your Data

We use personal data to: operate and improve the Services; assess candidate suitability; facilitate introductions between candidates and employers; communicate with you about opportunities, updates, and the Services; comply with legal obligations; and protect our rights and the rights of others.

11.4 Data Sharing

We may share personal data with: prospective employers (for candidates), prospective candidates (for employers), trusted third-party service providers that support our operations (such as CRM, communications, and analytics tools), and authorities or third parties where required by law.

We do not sell personal data.

11.5 International Data Transfers

RareSkills LLC is based in the United States. If you are located outside the United States, you acknowledge that your personal data will be transferred to and processed in the United States or other jurisdictions where our service providers operate. Where required by applicable law, we will use appropriate safeguards for such transfers, including standard contractual clauses or equivalent mechanisms recognized under applicable data protection legislation.

11.6 Data Retention

We retain personal data for as long as reasonably necessary to fulfill the purposes for which it was collected, including to operate the Services, maintain our candidate and employer records, comply with legal obligations, and resolve disputes. When personal data is no longer required for these purposes, we will delete or anonymize it in accordance with our internal data retention policies.

11.7 Your Data Rights

Depending on your location and applicable law, you may have certain rights with respect to your personal data, including the right to:

  • access the personal data we hold about you;
  • request correction of inaccurate or incomplete personal data;
  • request deletion or erasure of your personal data;
  • object to or restrict certain processing of your personal data;
  • request portability of your personal data; and
  • withdraw consent where processing is based on consent.

To exercise any of these rights, including to request deletion of your data, please submit a formal written request to: contact@raretalent.xyz

We will respond to valid requests within a reasonable timeframe and in accordance with applicable data protection law. We may ask you to verify your identity before processing a request. Note that certain data may be retained where we have a legal obligation or legitimate basis to do so, even following a deletion request.

11.8 Candidate-Specific Data Rights

If you are a candidate and you wish us to stop sharing your profile with prospective employers or to delete your data entirely, you may submit a formal written request to contact@raretalent.xyz. Upon receipt and verification of such a request, we will cease sharing your profile and delete your personal data from our active systems within a reasonable timeframe, subject to any legal retention obligations.

12. Term and Termination

12.1 Term

These Terms are effective from the date you first access or use the Services and remain in effect until terminated in accordance with this section.

12.2 Termination by You

You may stop using the Services at any time. If you wish us to delete your personal data and Submissions, you must submit a formal written request to contact@raretalent.xyz in accordance with Section 11.

12.3 Termination by Us

We may suspend or terminate your access to the Services at any time, with or without cause and with or without notice, including if we reasonably believe you have violated these Terms.

12.4 Effect of Termination

Upon termination: (a) your right to access and use the Services ceases immediately; (b) we may retain your data as permitted under Section 11 and applicable law; and (c) the following sections survive termination: Section 7 (User Submissions — to the extent of any surviving license), Section 8 (Confidentiality), Section 12.4 (Effect of Termination), Section 13 (Indemnification), Section 14 (Force Majeure and No Warranty), Section 15 (Limitation of Liability), and Section 17 (Governing Law).

13. Indemnification

13.1 Indemnification by You

You agree to indemnify and hold harmless RareSkills, its directors, employees, contractors, affiliates, and representatives from any claims, disputes, liabilities, losses, damages, costs, or expenses (including reasonable legal fees) arising out of or related to:

  • your breach of these Terms;
  • your misuse of the Services;
  • your violation of applicable law; or
  • your infringement of any third-party rights.

13.2 Indemnification by RareSkills

RareSkills agrees to indemnify and hold harmless you from any third-party claims, liabilities, losses, damages, costs, or expenses (including reasonable legal fees) arising directly from RareSkills' material breach of these Terms, gross negligence, or willful misconduct in connection with the provision of the Services, provided that you promptly notify RareSkills in writing of any such claim and cooperate reasonably in the defense of the claim.

14. Force Majeure and No Warranty

Force Majeure

RareSkills shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemics, labor disputes, government action, and internet service disruptions.

No Warranty

The Services and all related content and materials are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied.

To the fullest extent permitted by law, RareSkills disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

We do not warrant that the Services will be uninterrupted, error-free, secure, or that defects will be corrected, or that any content or information provided by candidates, employers, or third parties is accurate or complete.

15. Limitation of Liability

To the fullest extent permitted by law, RareSkills will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, business opportunity, goodwill, data, or anticipated savings arising out of or related to the Services.

To the fullest extent permitted by law, RareSkills' total aggregate liability to you for all claims arising out of or related to these Terms or the Services shall not exceed the greater of: (a) the total fees paid by you to RareSkills in the twelve (12) months immediately preceding the event giving rise to the claim; or (b) one thousand US dollars (USD $1,000).

The limitations in this section do not apply to: (i) liability arising from RareSkills' fraud or willful misconduct; (ii) liability arising from RareSkills' breach of its confidentiality obligations under Section 8; or (iii) either party's indemnification obligations under Section 13.

16. Third-Party Tools and Services

We may use trusted third-party services to operate the Services, including tools for payments, analytics, CRM and applicant tracking, communications, scheduling, video conferencing, transcription, document storage, and workflow management.

Your use of those third-party services may also be governed by their own terms and privacy policies. RareSkills is not responsible for the availability, performance, security, or policies of third-party services.

17. Intellectual Property Complaints

If you believe content on the RareTalent website infringes your rights, please contact us with sufficient detail for us to review the matter and respond appropriately.

18. Changes to These Terms

We may update these Terms from time to time. Any changes will become effective when posted on the website unless otherwise stated. Your continued use of the Services after updated Terms are posted constitutes your acceptance of the revised Terms.

19. Governing Law

RareSkills LLC is a Nevada limited liability company. These Terms and any disputes arising out of or related to them will be governed by and construed in accordance with the laws of the State of Nevada, USA, without regard to its conflict of laws principles.

Any dispute arising out of or related to these Terms that cannot be resolved through good-faith negotiation shall be subject to the exclusive jurisdiction of the state and federal courts located in Nevada, USA, and you consent to the personal jurisdiction of such courts.
